1. Acceptance of these terms
These Terms of Service (“Terms”) govern your use of the Venue Sathi website at venuesathi.com, the web app at app.venuesathi.com and the Venue Sathi mobile apps for Android and iOS (together, the “Service”), provided by Venue Sathi (“we”, “us”).
By creating an account, signing in or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a business, you confirm that you are authorised to accept these Terms for that business, and “you” includes that business.
2. The Service
Venue Sathi is a software platform that helps function halls, marriage gardens, banquet halls and similar venues manage venues and halls, availability calendars, customer enquiries, bookings, add-on services, payment records, reports, notifications and team access.
Venue Sathi is a management tool. We are not a party to any booking or agreement between a venue and its customers, and we do not process or hold payments between them. Payment records in the Service are entries made by the venue for its own tracking.
3. Eligibility and accounts
- You must be at least 18 years old and able to enter into a binding contract under Indian law.
- You must give accurate, current information when you create or update an account.
- You are responsible for keeping your password and PIN confidential and for all activity under your account. Tell us immediately if you suspect unauthorised access.
- Accounts are personal. Do not share your login with others; ask your administrator to add them as team members instead.
4. Organisations and team members
Each venue business uses the Service through an organisation account. The organisation’s administrators can add, remove and assign roles and permissions to team members, and can see and manage data entered by them. The organisation is responsible for its team members’ use of the Service and for removing access when a person leaves.
5. Plans, fees and payment
- Some features may be offered free of charge, as a trial, or under a paid plan. Applicable plans, prices and billing periods will be shown to you or agreed with you in writing before you are charged.
- Fees are payable in Indian Rupees, in advance for each billing period, and are exclusive of applicable taxes such as GST unless stated otherwise.
- Except where required by law or stated in your plan, fees already paid are non-refundable.
- We may change prices for future billing periods with at least 30 days’ notice. If you do not agree, you may stop using the Service before the change takes effect.
- If payment is overdue, we may suspend access to paid features after giving you notice.
6. Your data
- Ownership: you keep all rights to the information, photos and records you or your team add to the Service (“Your Data”).
- Licence to us: you give us a limited licence to host, store, copy, display and process Your Data only as needed to provide, secure and support the Service for you.
- Customer information: when you record details of your customers, you are responsible for having their consent or another lawful basis under applicable data protection law, and for responding to their requests. We process this data only on your behalf, as described in our Privacy Policy.
- Accuracy and backups: you are responsible for the accuracy of Your Data. We take reasonable steps to protect it, but you should keep your own records of important bookings and payments.
- Export and deletion: you may request an export or deletion of Your Data at any time, as described in our Privacy Policy.
7. Acceptable use
You agree not to:
- use the Service for anything unlawful, fraudulent or misleading, including fake listings, bookings or payment records;
- upload content that is infringing, obscene, defamatory, hateful or that you do not have the right to share;
- upload viruses or malicious code, or attempt to gain unauthorised access to the Service, other accounts or our systems;
- probe, scan or test the vulnerability of the Service, or bypass any security or access controls, without our written permission;
- copy, resell, sublicense or reverse engineer the Service, or use it to build a competing product;
- overload the Service with automated requests, except through API access we have granted to you; or
- send spam or unsolicited messages to people using contact details obtained through the Service.
8. Bookings between venues and their customers
Venues are solely responsible for their halls, pricing, availability, the services they provide, their agreements with customers, collection of payments, cancellations and refunds, and compliance with all applicable laws and licences. Any dispute about a booking is between the venue and its customer; Venue Sathi is not responsible for the conduct of venues or their customers.
9. Intellectual property
The Service, including its software, design, logos and the “Venue Sathi” name, is owned by us or our licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service for your venue business while these Terms are in effect. If you send us feedback or suggestions, we may use them without any obligation to you.
10. Availability and changes
We work to keep the Service available and reliable, but it may occasionally be interrupted for maintenance, updates or reasons beyond our control. We may add, change or remove features over time. If we remove a feature that is material to a paid plan, we will give you reasonable notice.
11. Suspension and termination
- You may stop using the Service and request closure of your account at any time.
- We may suspend or terminate access if you breach these Terms, fail to pay fees when due, create risk or legal exposure for us or others, or if required by law. Where reasonable, we will give you notice and a chance to fix the issue first.
- After termination, your right to use the Service ends. You may request an export of Your Data within 30 days, after which we will delete it in line with our Privacy Policy.
- Sections that by their nature should survive termination, including Your Data, intellectual property, disclaimers, limitation of liability, indemnity and governing law, will continue to apply.
12. Disclaimers
The Service is provided “as is” and “as available”. To the extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or that reports and calculations will meet every accounting or tax requirement. You remain responsible for your business, financial and tax decisions.
13. Limitation of liability
To the extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, bookings, goodwill or data, arising from your use of or inability to use the Service.
Our total liability for all claims relating to the Service in any twelve-month period is limited to the amount you paid us for the Service during that period, or ₹5,000 if you have not paid us anything.
14. Indemnity
You agree to indemnify and hold harmless Venue Sathi and its team from claims, losses and expenses (including reasonable legal fees) arising from your breach of these Terms, Your Data, your bookings and dealings with your customers, or your violation of any law or third-party rights.
15. Governing law and disputes
These Terms are governed by the laws of India. We encourage you to contact us first so we can try to resolve any concern informally. If a dispute cannot be resolved within 30 days, it will be subject to the exclusive jurisdiction of the competent courts in India.
16. General
- Changes to these Terms: we may update these Terms from time to time. We will post the new version here with a new “Last updated” date and, for material changes, notify you in the app or by email. Continued use after the update means you accept the revised Terms.
- App stores: if you download our mobile app from Google Play or the Apple App Store, the store’s terms also apply to the download. Those stores are not responsible for the Service or its support.
- Entire agreement: these Terms, the Privacy Policy and any plan or order you agree with us form the entire agreement between you and us about the Service.
- Severability and waiver: if any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver of it.
- Assignment: you may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition or sale of assets.
- Force majeure: we are not liable for delays or failures caused by events beyond our reasonable control.
